1. Acceptance of Terms

By accessing or using ImageRank ("Service," "Platform," or "we"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users, including visitors, registered users, and paying subscribers. We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Eligibility

You must meet the following requirements to use ImageRank:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials

3. Subscription Plans & Pricing

ImageRank offers multiple subscription tiers with different features and usage limits:

3.1 Billing Terms

• Subscriptions are billed monthly or annually
• Annual plans receive a 15% discount compared to monthly billing
• All prices are in USD unless otherwise specified
• Taxes may apply based on your location and will be added at checkout
• Payment is processed securely through Stripe, a PCI-DSS compliant payment processor

3.2 Usage Limits

• Monthly image quotas reset on the 1st day of each billing cycle
• Unused images do not roll over to the next month
• Exceeding your plan's limits will result in processing restrictions until upgrade or next billing cycle
• Batch processing limits are enforced per upload session

4. Automatic Renewal & Cancellation

4.1 Automatic Renewal

Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription price using your payment method on file.

4.2 Cancellation

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• You will retain access to paid features until the end of your billing period
• No refunds are provided for partial billing periods unless required by law
• After cancellation, your account reverts to the Free plan

4.3 Refund Policy

EU Consumer Rights (14-Day Withdrawal)

If you are a consumer residing in the European Union, you have the right to withdraw from your purchase within 14 days of subscribing, in accordance with EU Consumer Rights Directive 2011/83/EU.

However, by subscribing to ImageRank, you explicitly request that we begin providing the service immediately upon payment. By using the service (uploading images, generating SEO content, or accessing premium features), you acknowledge and agree that you waive your right to withdraw in accordance with Article 16(a) of the Consumer Rights Directive.

Refund Exceptions

Refunds may be issued at our sole discretion in the following exceptional cases:

• Technical issues: Service unavailable for more than 72 consecutive hours due to our fault
• Duplicate charges: Billing errors or duplicate transactions (verified by our team and Stripe)
• Service termination: Subscription canceled by ImageRank due to circumstances beyond your control
• Fraudulent charges: Unauthorized payments reported within 7 days with valid proof

How to Request a Refund

To request a refund, please contact support@imagerank.net with the following information:

• Your account email address
• Transaction ID or invoice number
• Detailed explanation of the issue
• Supporting evidence (screenshots, error messages, etc.)

Refund requests will be reviewed within 5-7 business days. Approved refunds are processed through Stripe and typically appear in your account within 5-10 business days, depending on your bank.

5. Acceptable Use Policy

You agree not to use ImageRank for any unlawful or prohibited purposes, including but not limited to:

5.1 Prohibited Content

• Illegal, harmful, or offensive content (violence, hate speech, pornography)
• Content that infringes on intellectual property rights or copyrights
• Malware, viruses, or malicious code embedded in images
• Personal information of third parties without consent (GDPR violation)
• Content that violates any applicable laws or regulations

5.2 Prohibited Activities

• Attempting to reverse engineer, decompile, or hack the Service
• Using automated scripts, bots, or scrapers to abuse the Service
• Reselling or redistributing ImageRank services without authorization
• Overloading or disrupting the Service's infrastructure (DoS attacks)
• Creating multiple accounts to circumvent usage limits
• Sharing account credentials with unauthorized users

6. Intellectual Property

6.1 Your Content

You retain all ownership rights to the images you upload. By using our Service, you grant ImageRank a limited, non-exclusive, royalty-free license to process, store, and display your images solely to provide the optimization services.

6.2 Generated Content

Generated SEO content (titles, descriptions, alt text) created by ImageRank is provided to you for your use. You may use, modify, and publish this content without attribution, though we appreciate credit when appropriate.

6.3 Our Intellectual Property

All aspects of the Service, including software, algorithms, design, trademarks, and branding, are owned by ImageRank and protected by intellectual property laws. You may not copy, modify, or create derivative works without permission.

7. Data Security & Privacy

• Images are encrypted in transit (SSL/TLS) and at rest (AES-256)
• We do not share your data with third parties except as necessary to provide services

8. Disclaimer of Warranties

ImageRank is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Accuracy, reliability, or quality of generated content
• Uninterrupted or error-free service availability
• Specific SEO results or ranking improvements
• Compatibility with all systems, browsers, or WordPress versions

We strive to provide high-quality service but cannot guarantee that the Service will meet all your requirements or expectations.

9. Limitation of Liability

To the maximum extent permitted by law, ImageRank shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities
• Service interruptions, downtime, or data loss
• Inaccurate or inappropriate generated content
• Unauthorized access to your account or images

Our total liability for any claims shall not exceed the amount you paid to ImageRank in the 12 months preceding the claim, or $100, whichever is greater.

10. Account Termination

10.1 Termination by You

You may terminate your account at any time through account settings or by contacting support. Upon termination, you will lose access to all paid features and your data will be deleted according to our retention policy.

10.2 Termination by Us

We reserve the right to suspend or terminate your account if:

• You violate these Terms of Service or our Acceptable Use Policy
• Your payment fails or your account is past due
• We detect fraudulent, abusive, or illegal activity
• Required by law or legal process

We will provide reasonable notice before termination unless immediate action is required for security or legal reasons.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of Romania and the European Union, without regard to conflict of law principles.

11.2 Arbitration Agreement

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration rather than in court, except for claims that may be brought in small claims court.

11.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and you waive your right to participate in class action lawsuits or class-wide arbitration.
